Partner Program Terms

1. About the Partner Program

The Flowgenie Partner Program lets approved partners refer businesses to the Flowgenie Marketing AI Agent and earn a recurring commission on the subscriptions they generate. The program is operated by Flowgenie Technologies Private Limited(“Flowgenie”, “we”, “us”). By applying to, or participating in, the program you agree to these Partner Program Terms, which are in addition to our Terms of Service and Privacy Policy.

2. Eligibility & Application

• The program is open to partners in any country.
• Approval required. Every application is reviewed and must be approved before your referral link becomes active. Until your application is approved, your referral link will not track referrals.
• No self-referral. You may not refer yourself, and you may not use your referral link to subscribe your own business or any account you own or control.
• Partners are not subscribers. You cannot subscribe to the Flowgenie Marketing AI Agent from within the partner portal. If you want to use the product yourself, you must sign up separately as a subscriber, under our standard Terms of Service.

3. Referral Attribution

A referred client is permanently attributed to the first partner who referred them. If more than one partner refers the same client, the client is credited to the partner whose referral was recorded first, and that attribution does not change later.

4. Commission

• Rate. You earn a 20% recurring commission on the gross USD $150 per month subscription fee for each referred account — that is USD $30 per referred account per month.
• Duration. Commission is paid for as long as the referred client stays subscribed and continues to pay.
• Currency. Commission accrues in USD.

5. Earning & Payout Threshold

• Accrual. Commission begins accruing from your first referral that makes a payment.
• Unlock threshold. Payouts unlock only after 5 cumulative referrals have made a payment. Once you reach that threshold, everything you accrued before the threshold becomes payable.
• Permanent unlock. The unlock is permanent — if referred clients later cancel, your account does not re-lock, and you remain eligible for payouts on all future accrued commission.

6. Refunds & Chargebacks

If a payment on which you earned commission is later refunded or charged back, the corresponding commission is reversed. If that commission has already been paid out to you, the reversed amount is deducted from a later payout.

7. Payments & Payouts

• Minimum balance. A payout is issued only once your payable balance reaches USD $100.
• Method. Payouts are made by bank transfer, against an invoice you submit for the amount due.
• Currency. Partners resident in India are paid in INR (converted from the accrued USD amount at the time of payout); all other partners are paid in USD.

8. Taxes & Withholding

Where the law requires it, withholding tax is deducted from your payment, and a statement is issued for every payment. You are responsible for any other taxes payable on the commission you earn.

9. What Partners Can See

To let you track your commission, the partner portal shows you a limited set of information about each client you refer:

• The client’s business name
• Their subscription status and related dates
• The referral channel they came through
• The commission you have earned from them

You see nothing else. You will never see a client’s email address, phone number, or any of their Google Ads data, and you never gain access to their Flowgenie account or reports.

10. Acceptable Use & Suspension

You must promote Flowgenie honestly and lawfully. We may suspend or remove a partner, withhold or reverse commission, and terminate participation for misuse, including:

• Spam or unsolicited messaging.
• Misrepresenting Flowgenie, the product, its pricing, or the terms of this program.
• Bidding on the Flowgenie brand (or close variants) in paid search.
• Incentivised signups (offering cash, rewards, or other inducements to sign up).
• Self-referral, or otherwise attempting to game attribution or commission.

11. Changes & Termination

We may update these Partner Program Terms from time to time; changes are posted on this page with an updated “Last updated” date. Either you or Flowgenie may end your participation in the program at any time. Commission that has properly accrued and become payable before termination remains payable, subject to these terms (including the refund, chargeback, threshold, and minimum- balance provisions above). Commission earned through prohibited conduct is forfeited.

12. Governing Law

These Partner Program Terms are governed by and construed in accordance with the laws of India. The program is operated by Flowgenie Technologies Private Limited, a company incorporated in India. Any disputes arising under these terms will be subject to the exclusive jurisdiction of the courts of India.
